Terms of Service — Signature Labs

These Terms of Service (“Terms”) form a binding agreement between you and Signature Labs, Inc. (“Signature Labs,” “we,” “us,” or “our”) governing your access to and use of signaturelabs.org and any related pages, content, and services we provide (collectively, the “Services”). By accessing or using the Services, you agree to be bound by these Terms. If you do not agree, do not use the Services.

1. Eligibility

You must be at least 16 years old to use the Services. By using the Services, you represent and warrant that you meet this requirement and that all information you provide is accurate and current.

2. Accounts & submissions

Certain features (such as submitting a job application or accessing the admin portal) require you to provide information or sign in. You are responsible for maintaining the confidentiality of your credentials and for all activity under your account. You agree to provide accurate information and to promptly update it as needed.

3. Acceptable use

You agree not to:

violate any applicable law or regulation;
upload content that is unlawful, defamatory, infringing, harassing, or that you do not have the right to share;
attempt to interfere with, probe, scan, reverse-engineer, or disrupt the Services or any underlying infrastructure;
use automated tools to scrape or extract data from the Services without our prior written consent;
impersonate any person or entity or misrepresent your affiliation; or
use the Services to transmit malware or to engage in fraudulent activity.

4. User content

You retain ownership of the content you submit to the Services (including resumes, portfolios, and application responses; collectively, “User Content”). You grant Signature Labs a worldwide, royalty-free, non-exclusive license to use, reproduce, store, and display your User Content solely for the purposes of operating the Services, evaluating your application, and complying with legal obligations. You represent and warrant that you have all rights necessary to grant this license.

5. Intellectual property

The Services, including all software, text, graphics, logos, and other content (excluding User Content), are owned by Signature Labs or its licensors and are protected by intellectual property laws. We grant you a limited, revocable, non-exclusive, non-transferable license to access and use the Services for your personal, non-commercial use, subject to these Terms.

6. No employment relationship

Submitting an application through the Services does not create an employment, agency, joint venture, or partnership relationship between you and Signature Labs. Any employment offer, if made, will be set out in a separate written agreement.

7. Third-party links

The Services may contain links to third-party websites or services. We are not responsible for the content, policies, or practices of any third party, and your use of those services is at your own risk.

8. Disclaimer of warranties

THE SERVICES ARE PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, WHETHER EXPRESS, IMPLIED, OR STATUTORY, INCLUDING WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, NON-INFRINGEMENT, AND ANY WARRANTIES ARISING FROM COURSE OF DEALING OR USAGE OF TRADE. WE DO NOT WARRANT THAT THE SERVICES WILL BE UNINTERRUPTED, ERROR-FREE, OR SECURE.

9. Limitation of liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, IN NO EVENT WILL SIGNATURE LABS OR ITS AFFILIATES, OFFICERS, EMPLOYEES, OR AGENTS BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES, OR FOR ANY LOSS OF PROFITS, REVENUE, DATA, OR GOODWILL, ARISING OUT OF OR RELATED TO YOUR USE OF THE SERVICES, WHETHER BASED ON WARRANTY, CONTRACT, TORT, OR ANY OTHER LEGAL THEORY. OUR TOTAL LIABILITY FOR ANY CLAIM ARISING FROM OR RELATED TO THE SERVICES WILL NOT EXCEED ONE HUNDRED U.S. DOLLARS (US$100).

10. Indemnification

You agree to defend, indemnify, and hold harmless Signature Labs and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable attorneys’ fees) arising out of or related to your use of the Services, your User Content, or your violation of these Terms.

11. Termination

We may suspend or terminate your access to the Services at any time, with or without notice, for any reason, including if we believe you have violated these Terms. Upon termination, provisions that by their nature should survive (including Sections 4, 5, 8, 9, 10, 12, and 13) will continue to apply.

12. Governing law & dispute resolution

These Terms are governed by the laws of the State of California, without regard to its conflict-of-laws principles. Any dispute arising out of or relating to these Terms or the Services will be resolved exclusively in the state or federal courts located in Santa Clara County, California, and you consent to personal jurisdiction and venue in those courts.

13. Changes to these Terms

We may update these Terms from time to time. The updated version takes effect when posted on this page, with the “Effective” date updated above. Your continued use of the Services after changes take effect constitutes acceptance of the updated Terms.
